Client Authorization & Agreement * Service Covered by This Agreement
This agreement applies to the specific service package and payment plan selected by Client in the order form immediately preceding this agreement. By submitting the form, Client acknowledges and agrees to the selected package, pricing, payment structure, and contract term as displayed at checkout.
Deliverables
Each podcast or video episode produced under this agreement includes the following:
Full audio and video editing
Publishing to YouTube and 30 plus podcast platforms
Show notes and episode graphics
Short-form clips for social distribution
YouTube SEO including titles, descriptions, and tags
Custom thumbnail design
10 to 15 social media posts built from the episode content, written in Client's voice and formatted for distribution
In addition to per-episode deliverables, Client receives ongoing strategic support that includes:
Weekly content strategy and topic suggestions delivered via email
One strategy call per month with the 320 Creative team
Direct access to Jamie and Michael Reynolds during business hours
Account Access and Authorization
Client authorizes 320 Creative to access approved podcast, video, and social media platforms solely for the purpose of delivering the services selected in the order form. Access is limited to content production, publishing, optimization, and account management directly related to this agreement.
Content Creation and Publishing
Client authorizes 320 Creative to edit, produce, publish, and distribute podcast episodes, video content, and related content, including show notes, graphics, clips, social media posts, and promotional assets, in alignment with the selected service package.
Creative Discretion
Client understands and agrees that 320 Creative may exercise reasonable creative, technical, and publishing discretion to ensure professional quality, consistency, and alignment with Client's brand and goals.
Client Responsibilities
Client agrees to provide accurate login credentials, brand materials, assets, approvals, and timely communication as required. Delays, failure to provide materials, or lack of participation by Client do not relieve Client of payment obligations and may impact delivery timelines.
Client Participation Requirements
To maintain full delivery and to qualify for the 90-Day Authority Positioning Guarantee described below, Client agrees to the following minimum participation standards throughout the contract term:
Record episode content on the schedule agreed during onboarding. If Client must miss a scheduled recording, Client must notify the 320 Creative team in writing (email or Slack) before the scheduled session. Missed recordings without written notice void the 90-Day Authority Positioning Guarantee.
Allow 320 Creative to publish episodes at the cadence agreed during onboarding, which will be either one episode per week or two episodes per month, across all distribution platforms.
Post all social media content provided by 320 Creative to Client's active social media accounts.
Maintain a minimum of five social media posts per week using content provided by 320 Creative.
Distribute content across a minimum of two active social media platforms at all times.
Attend the monthly strategy call or reschedule with reasonable notice.
Provide all materials, approvals, brand assets, and platform access within five business days of request.
Failure to meet any of these participation requirements does not relieve Client of payment obligations, may impact delivery timelines, and voids the 90-Day Authority Positioning Guarantee.
90-Day Authority Positioning Guarantee
If Client does not feel their authority positioning has significantly improved within ninety (90) days of their first published episode, 320 Creative will continue providing services on a month-to-month basis at no additional charge until Client confirms in writing that their authority positioning has improved.
What "Authority Positioning" Means. For the purposes of this guarantee, authority positioning means an established and consistent presence across podcast and YouTube platforms, a body of professionally produced content representing Client's expertise, distribution of that content across at least two social media platforms, and visible improvement in Client's online professional presentation compared to the start of the engagement. This guarantee does not promise specific results in views, leads, revenue, follower count, or any other performance metric.
Conditions Required to Claim. To be eligible for this guarantee, Client must have met every Client Participation Requirement listed above for the full 90-day period, must have made all required payments on time with no missed, late, or disputed payments, and must not have paused, canceled, or attempted to terminate this agreement during the 90-day period.
How to Claim
Client must submit a written request to 320 Creative within fourteen (14) days of the end of the 90-day period stating that they do not feel their authority positioning has significantly improved. 320 Creative may request documentation showing Client's compliance with the participation requirements before the guarantee is honored. Failure to claim within this window forfeits the guarantee.
Voiding the Guarantee
Failure to meet any participation requirement, missed or disputed payments, or breach of any other term of this agreement voids this guarantee in full.
Relationship to Other Terms
This guarantee does not extend or modify the contract term, does not release Client from payment obligations, and does not entitle Client to a refund of any payments made. Continued service under this guarantee is the sole remedy available to Client under this provision.
Term Commitment
This agreement is entered into for the full service term selected at enrollment (6 or 12 months, as chosen in the order form). This agreement may not be canceled, paused, or terminated early for any reason.
Payment Obligation
Client agrees to pay the full contract amount for the entire term selected, regardless of usage, participation level, business changes, dissatisfaction, or other circumstances. Early termination does not release Client from remaining payment obligations.
No Chargebacks or Payment Reversals
Client agrees not to dispute, charge back, reverse, cancel, or otherwise withhold payment for any reason. Any attempt to do so constitutes a material breach of this agreement and immediately voids the 90-Day Authority Positioning Guarantee.
Non-Refundable Services
All payments are non-refundable once services begin, including monthly payment plans and paid-in-full options. The 90-Day Authority Positioning Guarantee provides extended service at no charge as the sole remedy and does not entitle Client to any refund.
Service Suspension for Non-Payment
If payment fails or is not received, 320 Creative may pause services until the account is brought current. Paused services do not extend the contract term or reduce the total amount owed and void the 90-Day Authority Positioning Guarantee.
Credential Confidentiality
All login credentials and sensitive information provided by Client will be kept confidential and used only for the purpose of fulfilling services. Credentials will never be shared outside of 320 Creative's internal team.
Breach and Legal Remedies
In the event of non-payment, chargeback, or other material breach of this agreement, 320 Creative reserves the right to pursue all legal remedies available.
Recovery of Costs
Client agrees to be responsible for all costs incurred by 320 Creative to enforce this agreement, including but not limited to legal fees, court costs, collections expenses, and attorney fees.
Governing Law and Venue
This agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any legal action shall be brought exclusively in the appropriate courts located within the State of Florida.
Binding Agreement
By signing below, Client acknowledges that this agreement is legally binding, non-cancelable for the selected term, and enforceable, and authorizes 320 Creative to proceed with services as described.
